Mati Pajo has over 23 years of experience in corporate/commercial and securities law.

 

In his corporate/commercial practice, Mati acts for owner-managed and family businesses in various industries including financial services, information technology, food services, designers, wholesalers and distributors. He also acts for health care professionals (including physicians, dentists and optometrists), accountants, architects and other professionals.


Mati assists business clients with:


  • Establishing and organizing corporations (including professional corporations for physicians, dentists, optometrists and other health care professionals), partnerships and joint ventures
  • Providing day-to-day legal and strategic advice to business owners and managers
  • Drafting and negotiating various commercial contracts
  • Equity financings, debt financings and security agreements
  • Share purchase and asset purchase transactions
  • Corporate reorganizations
  • Maintenance of minute books and corporate records
  • Directors’ and shareholders’ meetings
  • Corporate governance and regulatory compliance


In his securities practice, Mati assists portfolio managers, exempt market dealers and investment fund managers with:


  • Applying for and maintaining registration with the Ontario Securities Commission
  • Compliance with know your client (KYC), suitability and conflicts of interest rules
  • Preparing exemptive relief applications
  • Developing and updating compliance policies and procedures
  • Regulatory compliance reviews
  • Formation, management and administration of mutual funds, limited partnerships and other pooled investment vehicles
  • Private placements of securities, including preparation of offering memoranda
  • Continuous disclosure obligations


Out of the office, Mati can be found hiking, canoeing, skiing and spending time at the cottage with his wife and four children. He enjoys playing piano and guitar, and volunteers as a cub scout leader.


Mati served as a director of the Estonian (Toronto) Credit Union for nine years.
